These Terms and Conditions govern your use of AI MCA Exchange and constitute a legally binding agreement between you and AI MCA Exchange. By creating an account or using our platform in any way, you agree to these terms in full. If you do not agree, do not use our platform. We have written these terms in plain language wherever possible — because you deserve to understand what you're agreeing to.

ELIGIBILITY

To use AI MCA Exchange you must meet the following requirements:

→You must be at least 18 years of age
→You must be the owner, partner, or authorized representative of a legitimate operating business
→Your business must be legally registered and operating in the United States
→You must have the legal authority to enter into financial agreements on behalf of your business
→You must not be prohibited from using financial services under any applicable law

By using our platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to deny access to any user who does not meet these requirements.

YOUR ACCOUNT

When you create an account on AI MCA Exchange, you are responsible for maintaining the security of your account and all activity that occurs under it.

→One account per business — you may maintain one active account per business entity
→Keep credentials secure — you are responsible for maintaining the confidentiality of your login credentials and must not share them with any third party
→Notify us immediately of any unauthorized access or suspected breach of your account security
→Accurate information — you must provide accurate, current, and complete information when creating and maintaining your account
→Account transfer prohibited — your account is personal to your business and may not be transferred, sold, or assigned to any other party

AI MCA Exchange is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

PLATFORM SERVICES

AI MCA Exchange provides the following services through our platform:

→AI-powered funding intake — a personal AI agent that guides you through the funding application process
→Document collection — secure collection and storage of financial documents required for funding evaluation
→Lender matching — analysis of your file and matching to appropriate direct lenders based on your business profile
→Offer presentation — presentation of funding offers from matched lenders for your review and consideration
→Account management — access to your funding history, documents, and account information through your personal portal

We reserve the right to modify, suspend, or discontinue any aspect of our platform at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services.

WE ARE NOT A LENDER

Important: AI MCA Exchange is a funding exchange platform — not a lender, bank, or financial institution.

AI MCA Exchange connects merchants with direct lenders through our Exchange platform. We do not make lending decisions, issue funds, set interest rates, or determine repayment terms. All funding decisions are made exclusively by the direct lenders on our platform.

By using our platform you acknowledge and understand that:

→AI MCA Exchange does not guarantee that you will receive a funding offer or be approved for funding
→All funding decisions, terms, rates, and conditions are determined solely by the direct lender making the offer
→Any funding agreement you enter into is directly between you and the lender — AI MCA Exchange is not a party to that agreement
→You should carefully review all terms of any funding offer before accepting
→Merchant Cash Advances are business financial products — not consumer loans — and are not subject to the same regulatory protections as consumer lending

MERCHANT OBLIGATIONS

By using AI MCA Exchange you agree to the following obligations:

// General conduct
→Use the platform only for its intended purpose — obtaining legitimate business funding
→Treat all communications with our team and AI agent professionally and respectfully
→Comply with all applicable federal, state, and local laws in connection with your use of the platform
→Not attempt to circumvent, disable, or interfere with any security or access control features of the platform
// Financial obligations
→Honor any funding agreement you enter into with a direct lender through our Exchange
→Not submit applications with the intent to deceive lenders or obtain funding under false pretenses
→Disclose all existing active MCA positions or business debt obligations accurately and completely

ACCURACY OF INFORMATION

Submitting false, misleading, or fraudulent information through AI MCA Exchange is strictly prohibited and may constitute fraud under applicable law.

You represent and warrant that all information you provide through our platform — including but not limited to business information, financial statements, bank statements, revenue figures, and identity documents — is accurate, complete, and not misleading in any material respect.

You acknowledge that:

→Lenders rely on the accuracy of your submitted information to make funding decisions
→Submitting falsified bank statements, altered documents, or misrepresented revenue figures may constitute bank fraud and wire fraud under federal law
→AI MCA Exchange reserves the right to report suspected fraudulent activity to appropriate authorities
→You will immediately notify us if any information you have submitted becomes inaccurate or materially changes

AI AGENT

AI MCA Exchange provides an AI-powered funding agent to assist you through the funding process. By interacting with our AI agent you acknowledge and agree that:

→The AI agent is a tool, not a financial advisor. It guides you through the application process and collects information — it does not provide financial, legal, or investment advice
→AI responses are not guarantees. Any estimates, ranges, or projections provided by the AI agent are for informational purposes only and do not constitute offers or commitments
→Conversations may be reviewed. AI agent interactions may be reviewed by our team to improve service quality and ensure compliance
→Do not share sensitive information unprompted. Only submit financial documents and personal information through our secure document upload system — not through open conversation with the AI agent
→Errors may occur. While we work to ensure accuracy, AI systems can make mistakes. Always verify important information with our human team

FEES

AI MCA Exchange is completely free for merchants. You will never be charged a fee to use our platform, access your AI agent, submit your file, or receive funding offers.

Our platform is funded by fees paid by direct lenders who participate in the Exchange. These fees are paid by lenders — never by merchants — and do not affect the terms or rates of any funding offer you receive.

Any fees, costs, or charges associated with a specific funding product are set entirely by the direct lender and will be disclosed to you in the offer. AI MCA Exchange is not responsible for lender-imposed fees and does not receive a portion of any funding you receive.

We reserve the right to introduce optional premium features for merchants in the future. Any such features will always be clearly disclosed and will never be required to access basic platform services.

PROHIBITED USE

The following activities are strictly prohibited on AI MCA Exchange. Violation may result in immediate account termination and legal action where appropriate.

✗Submitting false, fraudulent, or materially misleading information or documents
✗Creating multiple accounts for the same business or individual
✗Using the platform on behalf of a business you do not have authority to represent
✗Attempting to access accounts, systems, or data belonging to other users
✗Using automated bots, scrapers, or other tools to access the platform without our written permission
✗Reverse engineering, decompiling, or attempting to extract source code from our platform
✗Using the platform for any illegal purpose or in violation of any applicable law or regulation
✗Harassing, threatening, or abusing our team, AI agent, or other users
✗Attempting to interfere with the operation or security of the platform
✗Reselling, sublicensing, or commercializing access to the platform without written permission

INTELLECTUAL PROPERTY

All content, features, functionality, design, code, trademarks, logos, and materials on the AI MCA Exchange platform are the exclusive property of AI MCA Exchange and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform solely for your personal business funding purposes. This license does not include the right to:

→Reproduce, distribute, or publicly display any content from the platform
→Modify or create derivative works based on platform content
→Use our trademarks, logos, or brand elements without written permission
→Use any data mining or extraction tools on platform content

By submitting content through our platform — including documents, information, and communications — you grant AI MCA Exchange a limited license to use that content solely to provide our services to you.

DISCLAIMERS

The platform is provided "as is" and "as available" without warranties of any kind, express or implied.

AI MCA Exchange makes no warranties or representations regarding:

→The availability, accuracy, completeness, or reliability of the platform or its content
→Whether you will receive a funding offer or be approved for any specific amount
→The terms, rates, or suitability of any funding offer from a direct lender
→The conduct, reliability, or financial soundness of any lender on our Exchange
→That the platform will be uninterrupted, error-free, or free of viruses or other harmful components

Nothing on this platform constitutes financial, legal, tax, or investment advice. You should consult appropriate professionals before entering into any financial agreement.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, AI MCA Exchange and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to:

→Loss of profits, revenue, or business opportunity
→Loss of data or business information
→Decisions made based on information provided through the platform or AI agent
→Any funding agreement entered into with a direct lender
→Unauthorized access to your account or data
→Platform downtime, errors, or service interruptions

Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid to us in the twelve months preceding the claim — which, given that our platform is free, means our liability is limited to the maximum extent permitted by law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AI MCA Exchange and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

→Your use of the platform in violation of these Terms
→Your submission of false, fraudulent, or misleading information
→Your violation of any applicable law or regulation
→Any funding agreement you enter into with a direct lender
→Your infringement of any third-party rights

TERMINATION

Your right to terminate: You may close your account and terminate your use of AI MCA Exchange at any time by contacting us at hello@aimcaexchange.com. Upon termination, we will handle your data in accordance with our Privacy Policy.

Our right to terminate: We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, submitted fraudulent information, or engaged in any activity that threatens the integrity of our platform or the safety of our users.

Effect of termination: Upon termination, your right to access the platform ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of the United States and the state in which AI MCA Exchange is registered, without regard to conflict of law provisions.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

DISPUTE RESOLUTION

Informal resolution first: Before initiating any formal legal proceeding, you agree to contact us at legal@aimcaexchange.com and attempt to resolve the dispute informally. We will make a good faith effort to resolve any dispute within 30 days.

Arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or your use of AI MCA Exchange shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted on an individual basis — class action proceedings are not permitted.

Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to prevent irreparable harm.

CHANGES TO TERMS

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and post a prominent notice on our platform at least 30 days before the changes take effect.

Your continued use of AI MCA Exchange after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must stop using the platform and may request account closure.

We will never use a Terms update to retroactively impose fees on merchants or reduce the core protections we have committed to in these Terms.
